Welcome to the Clavia online store. This website is operated by DiPuglia LTD. Throughout the site, the terms “we”, “us” and “our” refer to DiPuglia LTD (doing business as Clavia). We oFer this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions.

SECTION 1 - ACCESS AND ACCOUNT

When you place an order, you are making an oFer to purchase. Clavia reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until we confirm acceptance. Your purchases are subject to return or exchange solely in accordance with our Return and Refund Policy. You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices are subject to change without notice. The price charged will be the price in eFect at the time the order is placed. Unless otherwise expressly stated, posted prices do not include taxes (GST, HST, QST, PST), shipping, handling, or environmental fees. You represent and warrant that (i) the credit card information you provide is true, correct, and complete, and (ii) you will pay charges incurred by you at the posted prices, including shipping and applicable taxes.

SECTION 5 - SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays caused by shipping carriers, weather, or events outside our control. Title and risk of loss pass to you once we transfer products to the carrier.

All content on our Services that we create, including the Clavia name, logo, website design, layout, and original text and graphics, is owned by DiPuglia LTD (doing business as Clavia) or its licensors. All product trademarks, brand names, product images, and product designs remain the property of their respective manufacturers, including Canon Canada, Dangbei, Epson, OPN Sound, and Sharp Electronics of Canada Ltd, their aFiliates or licensors. All such materials are protected by Canadian and international patent, copyright, and intellectual property laws. You must not reproduce, distribute, or modify any material on the Services without the prior written consent of the applicable owner.

SECTION 7 - RELATIONSHIP WITH SHOPIFY

Clavia is powered by Shopify. However, any sales and purchases you make are made directly with Clavia. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sales between you and Clavia.

SECTION 8 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

PRODUCT WARRANTY: Products sold on this site are manufactured by Canon Canada, Dangbei, Epson, OPN Sound, and Sharp Electronics of Canada Ltd, and are subject to the manufacturer’s limited warranty included with the product. Clavia acts solely as the retailer. Any warranty claims regarding product defects should be directed to Canon Canada, Dangbei, Epson, OPN Sound, and Sharp Electronics of Canada Ltd in accordance with the documentation provided with your product.

EXCEPT AS EXPRESSLY STATED BY THE MANUFACTURER, THE SERVICES AND PRODUCTS DELIVERED TO YOU THROUGH THE SERVICE ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL CLAVIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS OR DATA.

NOTE TO QUEBEC CONSUMERS: THE LEGISLATION OF SOME PROVINCES (INCLUDING QUEBEC) MAY NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes arising out of or regarding these Terms of Service shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario.
