1. About these Terms

Welcome to Clavia. These Terms and Conditions (“Terms”) govern your use of the website clavia.ca (the “Site”) and any purchase you make through it. The Site is owned and operated by DiPuglia LTD, an Ontario corporation doing business as Clavia (“Clavia,” “we,” “us,” or “our”).

By placing an order, creating an account, or otherwise using the Site, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and any other policy posted on the Site. If you do not agree, do not use the Site.

2. Who can buy from us

To place an order on clavia.ca, you must:

          Be at least the age of majority in your province or territory of residence (18 in most provinces; 19 in British Columbia, New Brunswick, Newfoundland and Labrador, Nova Scotia, Northwest Territories, Nunavut, and Yukon).

          Have a valid Canadian shipping address. We ship within Canada only. We do not ship to PO boxes, freight forwarders, or addresses outside Canada.

          Provide accurate billing, shipping, and contact information.

We reserve the right to refuse, cancel, or limit any order at our discretion, including orders that appear to be for resale, parallel export, or for fraudulent purposes.

3. Account registration

You may browse clavia.ca without an account. To place an order, you may be asked to create one. You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for any activity under your account. Tell us right away at support@clavia.ca if you suspect unauthorized access.

We may suspend or close accounts that violate these Terms, that show signs of fraud, or that are inactive for an extended period.

4. Products, descriptions, and availability

We work hard to describe and photograph our products accurately. That said, colours, dimensions, packaging, and specifications shown on the Site are approximations and may differ slightly from the physical product. Manufacturers occasionally update specifications, accessories, or packaging without notice.

Stock is not guaranteed until your order is accepted (see Section 6). A product appearing on the Site is not an offer; it is an invitation to place an order.

We sell only products sourced through authorized distribution channels for the brands listed on our website. If you ever have a question about the authenticity or distribution path of a product you bought from us, contact us at support@clavia.ca and we will provide our source of supply on request.

5. Pricing, taxes, and currency

All prices on clavia.ca are listed in Canadian dollars (CAD) and are exclusive of applicable taxes. Federal GST, provincial PST, and HST are calculated and shown at checkout based on your shipping address.

We make every effort to keep prices accurate. If a pricing error appears on the Site, we may correct the price, cancel the order, or refund you in full — at our discretion and before the product ships. If we cancel for this reason, we will tell you and refund any amount already charged.

Prices, promotions, and product availability are subject to change without notice. The price that applies to your order is the one displayed when your order is accepted.

6. Placing and accepting an order

When you place an order, you make an offer to buy the products listed at the price shown at checkout. Your order is accepted only when:

1.        We email you an Order Confirmation that confirms acceptance, and

2.        The product ships from one of our Canadian warehouses.

A payment authorization, order receipt, or auto-generated cart email is not an acceptance. We may decline or cancel an order in whole or in part before shipment for reasons including, but not limited to: stock shortage, pricing error, suspected fraud, shipping restriction, or breach of these Terms. If we cancel an accepted order, you will receive a full refund to the original payment method.

7. Payment

We accept the payment methods displayed at checkout. Payment is processed by our payment service providers, not by Clavia. We do not store your full credit card number on our systems.

You confirm that the payment method you use belongs to you and that you have authority to use it. If your payment is declined, reversed, or charged back without justification, we may suspend your account and pursue collection of any amounts owed.

8. Shipping and delivery

We ship to addresses within Canada from our Canadian warehouses. Estimated transit times, shipping carriers, and shipping costs are calculated and shown at checkout based on the destination and the product. The transit time shown at checkout is an estimate, not a guarantee. Actual delivery times depend on the carrier, weather, customs (where applicable), strikes, and other conditions outside our control.

Full shipping details, including carriers, processing times, regional delivery estimates, and special handling for Yukon, the Northwest Territories, and Nunavut, are set out in our Shipping Policy, which forms part of these Terms.

Title and risk of loss pass to you when the product is delivered to the address you provided at checkout. If a parcel is marked delivered by the carrier but you have not received it, contact us within seven (7) days of the delivery scan and we will work with you and the carrier to investigate.

If you provide an incorrect address, refuse delivery, or fail to retrieve the parcel before it is returned to us, you may be responsible for return shipping fees and a restocking fee (see Section 9).

9. Returns, refunds, and exchanges

9.1 Return window

You may return most products purchased on clavia.ca within thirty (30) calendar days of the delivery date.

9.2 Condition

          Unopened products in their original, factory-sealed packaging may be returned for a full refund of the product price.

          Opened products — meaning the original manufacturer packaging seal has been broken, the product has been removed from its original packaging, the product has been powered on or paired, or any included accessory has been used — are subject to a ten percent (10%) restocking fee, calculated on the product price (before taxes and shipping).

          Products that show signs of damage, missing accessories, missing manuals or registration cards, or are not in resaleable condition may be refused or assessed a higher restocking deduction, at our reasonable discretion.

9.3 What is not returnable

The following items are final sale and cannot be returned unless they arrived defective or damaged:

          Software, digital downloads, and activated licence keys.

          Earphones, in-ear monitors, and other personal-hygiene products once the hygiene seal is broken.

          Products marked “Final Sale” or “Clearance” on the product page at the time of purchase.

          Gift cards.

9.4 How to return

To start a return, email support@clavia.ca with your order number within the 30-day window. We will issue a Return Merchandise Authorization (RMA) and shipping instructions. Returns sent without an RMA may be refused or delayed.

You are responsible for return shipping costs unless the product arrived defective, damaged, or was shipped in error. We recommend insuring and tracking your return — until the product reaches our warehouse, the risk of loss is yours.

9.5 Refunds

Once we receive and inspect the return, we will issue your refund to the original payment method within ten (10) business days. Original shipping charges are non-refundable, except where the return is the result of our error or a defective product.

9.6 Defective or damaged on arrival

If a product arrives defective, damaged, or different from what you ordered, contact us within seven (7) days of delivery with photos and your order number. We will replace it, repair it, or refund it in full, including shipping — your choice. This right is in addition to any rights you have under applicable consumer-protection law, including the Quebec Consumer Protection Act.

10. Warranty

All products sold on clavia.ca are covered by the manufacturer’s warranty that came with the product. Clavia does not provide its own retail warranty in addition to the manufacturer’s coverage.

For warranty claims, follow the process described in the documentation that came with your product, or contact the manufacturer directly. We can help you start the process — write to support@clavia.ca and we will assist.

Nothing in this section limits any non-waivable warranty or legal guarantee you have under provincial law, including the legal warranty of quality under article 1726 of the Civil Code of Quebec and the implied warranties under the Quebec Consumer Protection Act and equivalent legislation in your province.

11. Intellectual property

All content on clavia.ca — including the Clavia name, the Clavia logo, product photography, product copy, page layouts, illustrations, the structure of the Site, and our about-page text — is owned by Clavia or used by Clavia under licence, and is protected by Canadian and international intellectual property laws.

You may view, share, and print pages for personal, non-commercial use. You may not copy, modify, republish, scrape, frame, or use any Clavia content for commercial purposes without our prior written consent.

Brand names, logos, and product images of Canon cameras and lenses, Dangbei and Epson projectors, OPN Sound personal audio, Sharp home audio, and any other brand sold on the Site are the property of their respective owners and are used by Clavia in our capacity as an authorized Canadian retailer of those brands.

12. How you may use the Site

When you use clavia.ca, you agree not to:

          Use the Site for any unlawful purpose or in violation of these Terms.

          Place orders fraudulently or using someone else’s payment method.

          Attempt to gain unauthorized access to our systems, accounts, or data.

          Scrape, harvest, or extract data from the Site by automated means.

          Upload content that is defamatory, harassing, infringing, obscene, or otherwise unlawful (for example, in product reviews).

          Interfere with or disrupt the Site or the servers and networks that host it.

We may remove user-submitted content and suspend or close accounts at our discretion if these rules are broken.

13. User-submitted content (reviews, comments)

If you submit a product review, comment, photo, or other content to clavia.ca, you grant Clavia a non-exclusive, royalty-free, perpetual, worldwide licence to use, display, edit for length and clarity, and republish that content for purposes related to the Site and our marketing. You confirm that the content is your own work and does not infringe anyone else’s rights.

We may, but are not required to, edit or remove user-submitted content at our discretion.

14. Disclaimers

The Site and our products are provided “as is” and “as available,” to the extent permitted by law. Clavia makes no representation or warranty about the Site itself — including uninterrupted access, error-free operation, or that the Site or its servers are free of viruses or harmful components — beyond what is required by law.

Nothing in this section excludes or limits any right you have under applicable consumer-protection legislation, including the Quebec Consumer Protection Act, the Sale of Goods Act in your province, and the federal Competition Act.

15. Limitation of liability

To the maximum extent permitted by law, Clavia’s total liability to you arising out of or related to your purchase, these Terms, or your use of the Site is limited to the amount you paid for the product giving rise to the claim.

Clavia is not liable for indirect, consequential, incidental, special, or punitive damages — including loss of profits, loss of data, or loss of use — except where such limitation is prohibited by law.

Nothing in this section excludes or limits liability for:

          Death or personal injury caused by our negligence.

          Fraud or fraudulent misrepresentation.

          Any liability that cannot be excluded or limited under Canadian law.

16. Indemnification

You agree to indemnify and hold Clavia, its directors, officers, employees, and contractors harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, your infringement of any third party’s rights, or your violation of any applicable law.

17. Privacy

Our handling of your personal information is described in our Privacy Policy. By using the Site, you agree to the practices described there.

We comply with the federal Personal Information Protection and Electronic Documents Act (PIPEDA) and, for Quebec residents, with Law 25 (An Act to modernize legislative provisions as regards the protection of personal information).

18. Quebec consumers — additional information

If you are a consumer residing in Quebec, the following applies to you in addition to the rest of these Terms. Where these Terms conflict with non-waivable provisions of the Quebec Consumer Protection Act, that Act prevails.

          You have the rights granted by the Consumer Protection Act, including the legal warranty of fitness and durability under sections 37 and 38, which apply regardless of what these Terms say.

          You may file a complaint with the Office de la protection du consommateur at any time.

          A French-language version of these Terms is available at /fr/policies/terms-of-service. The French version is the official version for Quebec consumers.

19. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws principles.

Subject to applicable consumer-protection law, any dispute arising out of or related to these Terms or your purchase will be brought exclusively before the courts of the Province of Ontario sitting in Ottawa, and you consent to the jurisdiction of those courts.

Quebec consumers retain the right to bring an action in the district of their domicile under article 3149 of the Civil Code of Quebec.

20. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page with a new “Last updated” date. Material changes will be highlighted at the top of the page for at least thirty (30) days.

Continued use of the Site after a change is posted means you accept the updated Terms. The version that applies to any given order is the version posted at the time the order is placed.

21. Severability and entire agreement

If any part of these Terms is found to be unenforceable, the rest of these Terms still apply.

These Terms, together with our Privacy Policy and any other policy expressly incorporated by reference, are the entire agreement between you and Clavia about your use of the Site and any purchase you make through it. They replace any prior agreement or understanding.
